Welcome to Billvate ("Service"), operated by Stackvate Inc. ("Company," "we," "us," or "our"). By accessing or using our Service, you agree to be bound by these Terms of Service ("Terms") and all applicable laws and regulations.
If you do not agree with any part of these Terms, you must not use our Service. Your continued use of the Service following the posting of changes to these Terms constitutes your acceptance of those changes.
Important Notice
These Terms include provisions regarding account suspension, termination, and prohibited activities. Please review Sections 7, 11, 12, and 13 carefully, as they contain important information about our enforcement policies.
2. Eligibility Requirements
To use our Service, you must:
- Be at least 18 years of age
- Have the legal capacity to enter into a binding agreement
- Not be prohibited from using the Service under applicable laws
- Not be located in, or a resident of, any country subject to comprehensive U.S. sanctions
- Not be listed on any U.S. government sanctions list, including the OFAC SDN List
- Not represent or work for any entity on U.S. sanctions lists
Geographic Restrictions
Our Service is not available to users in the following sanctioned countries and regions:
- Cuba
- Iran
- North Korea
- Syria
- Crimea region of Ukraine
- Donetsk People's Republic
- Luhansk People's Republic
Sanctions Compliance
We screen all users against U.S. government sanctions lists. Attempting to use the Service from a sanctioned country or while on a sanctions list may result in immediate account termination and reporting to relevant authorities.
3. Description of Service
Billvate provides an online invoice generation and management platform that enables users to:
- Create, edit, and manage professional invoices
- Store and manage client information
- Generate PDF invoices for download and sharing
- Set up recurring invoices for regular billing
- Accept online payments through integrated payment processors
- Track payment status and send reminders
- Provide clients with a portal to view and pay invoices
The Service is provided on a subscription basis with free and paid tiers. Features and limitations vary by subscription plan.
4. User Accounts
4.1 Registration
To access most features of the Service, you must create an account. When registering, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Keep your password secure and confidential
- Accept responsibility for all activities under your account
- Notify us immediately of any unauthorized access
4.2 Account Verification
We may require you to verify your identity or business information at any time. Failure to provide requested verification may result in account restrictions or termination.
4.3 One Account Per Person/Entity
Each individual or business entity may maintain only one account. Creating multiple accounts to circumvent restrictions or limitations is prohibited.
5. Subscriptions & Billing
5.1 Subscription Plans

5.2 Online Payment Processing Fee
When you use Billvate's online payment link feature to accept payments from your clients, an application fee of 1% is applied to each transaction. This fee is in addition to any payment processor fees (such as Stripe's standard processing fees).
- Application Fee: 1% of the transaction amount
- Payment Processor Fee: Standard Stripe fees (approximately 2.9% + $0.30 per transaction)
- Fee Deduction: Fees are automatically deducted from the payment before transfer to your connected account
Example: For a $100 invoice paid via online payment link, approximately $3.20 in fees would be deducted (1% application fee + Stripe processing fee), and you would receive approximately $96.80.
5.3 Subscription Billing
Paid subscriptions are billed in advance on a recurring basis (monthly or annually). By subscribing, you authorize us to charge your payment method for the applicable fees.
5.4 Cancellation
You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. We offer a 30-day money-back guarantee for new paid subscriptions.
5.5 Refunds
Refunds are available within 30 days of initial purchase or upgrade. Refunds are not available for:
- Accounts terminated for Terms violations
- Subscriptions active for more than 30 days
- Partial billing periods
6. Acceptable Use Policy
Our Service is designed for legitimate business invoicing purposes. You agree to use the Service only for lawful purposes and in accordance with these Terms.

6.1 Lawful Use
You may only use the Service for invoicing related to legal products and services. All invoices must accurately represent actual goods or services provided.
6.2 Accurate Information
All information you enter into the Service, including client details and invoice items, must be accurate and not misleading or fraudulent.
7. Prohibited Activities
Zero Tolerance Policy
We maintain a zero-tolerance policy for certain prohibited activities. Violations may result in immediate account termination without prior warning.
7.1 Prohibited Business Categories
The Service may not be used for invoicing related to:
- Illegal drugs or controlled substances
- Weapons, firearms, or ammunition
- Adult entertainment or pornography
- Gambling or betting services (unlicensed)
- Cryptocurrency or unregistered securities
- Terrorist financing or money laundering
- Human trafficking or exploitation
- Counterfeit goods or intellectual property infringement

7.2 Prohibited Actions
You may not:
- Use the Service for fraudulent invoicing or fake billing
- Create invoices for goods or services not actually provided
- Impersonate another person or business
- Attempt to circumvent our security or compliance measures
- Use VPNs, proxies, or Tor to hide your location
- Access the Service from sanctioned countries
- Share your account credentials with others
- Automate access to the Service without permission
- Reverse engineer or copy any part of the Service
8. Compliance Requirements
8.1 Regulatory Compliance
You agree to comply with all applicable laws and regulations, including:
- U.S. sanctions laws and OFAC regulations
- Anti-money laundering (AML) laws
- Know Your Customer (KYC) requirements
- Tax reporting and withholding requirements
- Consumer protection laws
- Data protection and privacy laws
8.2 Business Verification
We may request documentation to verify your business, including:
- Government-issued identification
- Business registration documents
- Proof of address
- Tax identification numbers
8.3 Record Keeping
You are responsible for maintaining accurate records of your invoicing activities. We retain compliance-related records for 7-10 years as required by law.
9. User Content
9.1 Ownership
You retain ownership of all content you create using the Service, including invoices, client information, and business data.
9.2 License Grant
By using the Service, you grant us a limited license to store, process, and display your content solely for the purpose of providing the Service.
9.3 Content Scanning
We use automated systems to scan invoice content for prohibited keywords and activities. This is necessary to maintain the integrity of our Service and comply with legal requirements.
9.4 Content Restrictions
Your content must not contain:
- References to prohibited goods or services
- Fraudulent or misleading information
- Content that violates third-party rights
- Malware, viruses, or harmful code
10. Intellectual Property
The Service and its original content, features, and functionality are owned by Stackvate Inc. and are protected by international copyright, trademark, and other intellectual property laws.
10.1 Trademarks
"Billvate," "Stackvate Inc.," and associated logos are trademarks of Stackvate Inc.. You may not use these marks without our prior written consent.
10.2 Restrictions
You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission.
11. Monitoring & Enforcement
11.1 Automated Monitoring
We use automated systems to monitor the Service for:
- Prohibited keywords in invoice content
- Suspicious activity patterns
- Sanctions list matches
- Geographic access from restricted regions
- VPN, proxy, or Tor usage
11.2 Manual Review
Flagged accounts are subject to manual review by our compliance team. We may contact you to request additional information or clarification.
11.3 Enforcement Actions
Depending on the severity of violations, we may:
- Issue a warning
- Temporarily restrict account features
- Suspend your account pending review
- Permanently terminate your account
- Report violations to law enforcement
12. Account Suspension
12.1 Grounds for Suspension
We may suspend your account for:
- Suspected violation of these Terms
- Compliance review pending verification
- Suspicious activity requiring investigation
- Failure to respond to verification requests
- Payment disputes or chargebacks
12.2 During Suspension
While suspended:
- You cannot access the Service or create invoices
- Existing invoices remain accessible to clients
- Recurring invoices are paused
- You retain the right to export your data
12.3 Suspension Duration
Suspensions may last from 24 hours to indefinitely, depending on the nature of the issue. We will notify you of the suspension reason and expected timeline.
13. Termination
13.1 Termination by You
You may terminate your account at any time by contacting support or using the account deletion feature. We recommend exporting your data before termination.
13.2 Termination by Us
We may terminate your account immediately and without prior notice for:
- Confirmed violation of these Terms
- Fraudulent or illegal activity
- SDN list matches confirmed
- Access from sanctioned countries
- Repeated Terms violations after warnings
13.3 Effect of Termination
Upon termination:
- Your access to the Service will be immediately revoked
- No refunds will be provided for Terms violations
- Your data will be deleted within 90 days (unless legally required to retain)
- Compliance records may be retained for 7-10 years
Data Retention for Compliance
Even after termination, we may retain certain records as required by law, including transaction history, compliance flags, and communications related to the termination.
14. Appeals Process
14.1 Right to Appeal
If your account is suspended or terminated, you have the right to appeal the decision within 14 days of receiving notice.
14.2 How to Appeal
To submit an appeal:
- Email support@billvate.com with subject "Account Appeal"
- Include your account email address
- Provide a detailed explanation of why you believe the action was in error
- Attach any supporting documentation
14.3 Appeal Review
Appeals are reviewed by our compliance team within 5-10 business days. We may request additional information during the review process.
14.4 Appeal Outcomes
Possible outcomes include:
- Appeal Approved: Account restored with any restrictions lifted
- Appeal Partially Approved: Account restored with ongoing restrictions
- Appeal Denied: Original decision upheld
14.5 Final Decision
Appeal decisions are final. However, you may request a secondary review if new evidence becomes available.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
- WARRANTIES OF MERCHANTABILITY
- FITNESS FOR A PARTICULAR PURPOSE
- NON-INFRINGEMENT
- ACCURACY OR RELIABILITY OF CONTENT
We do not warrant that the Service will be uninterrupted, secure, or error-free.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, STACKVATE INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING:
- Loss of profits or revenue
- Loss of data or business interruption
- Damages arising from account suspension or termination
- Any other damages arising from your use of the Service
Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.
17. Indemnification
You agree to indemnify, defend, and hold harmless Stackvate Inc., its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Any content you submit through the Service
18. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions.
Any disputes arising from these Terms or the Service shall be resolved exclusively in the federal or state courts located in New York.
19. Changes to Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes by:
- Email notification to your registered email address
- Prominent notice on the Service
- Updating the "Last Updated" date
Your continued use of the Service after changes are posted constitutes your acceptance of the modified Terms.
